Serica is a reporting issuer under the securities laws of certain provinces of Canada. As at 1 January 2013, Serica meets the requirements of a "designated foreign issuer" under Canadian securities laws.
As a company incorporated in the United Kingdom and complying with United Kingdom securities regulatory requirements, the Company is exempt from certain continuous disclosure obligations under Canadian securities laws for so long as it continues to meet the requirements of a designated foreign issuer.
These exemptions relate, in particular, to the disclosure of material changes, the preparation, approval, delivery and filing of quarterly interim financial statements, annual financial statements and auditors report, MD&A and annual information forms, preparation and filing of business acquisition reports, information circulars and proxy solicitation, early reporting, insider reporting, the disclosure of voting results, the filing of news releases disclosing information regarding its results of operations or financial condition, the filing of documents affecting the rights of security holders and material contracts entered into other than in the ordinary course of business, certain related party transactions, a change in year end, a change of auditor and the disclosure minority approval requirements for restricted securities.
